Payment schedule
- Install 50% at signing, 50% at go-live.
- Operate install as above; the monthly fee billed in advance, cancel with thirty days notice.
- Build 40% at signing, 40% at the mid-build acceptance milestone, 20% at final acceptance.
- Net 15 on invoices. Card, ACH or wire.
Contract form
- A master services agreement plus a statement of work per engagement.
- The statement of work carries the written spec: the numbers the system is meant to move and how each is counted.
- Change orders are written, priced and signed before the work happens, or the work does not happen.
- Governing law: Utah.
Intellectual property
- Custom work built for you is assigned to you on final payment.
- The pre-built platform is owned by Akovex Inc., licensed exclusively to Tech & AI Agency LLC, and sublicensed to you for as long as you run it, care plan or not.
- The statement of work lists which components are which. No surprises at hand-off.
- Your data is yours at all times and leaves in open formats on request.
Liability and insurance
- Liability capped at the fees paid in the prior twelve months, standard carve-outs for confidentiality and IP.
- Insurance: we answer the questionnaire with the policies in force at signing and provide certificates on request.
- No indemnity for your own data or third-party services you choose to keep.
Security and data
- Security questionnaires answered within five business days by the founder who runs infrastructure. Position summarised on the security page.
- Data processing agreement on request. Access is role-scoped, logged, and removed at offboarding.
- Backups tested by restore, not by existence.
- Subprocessors, by category: cloud hosting and storage (United States regions), transactional and marketing email, telephony and SMS for voice agents, payment processing, error and uptime monitoring, and AI model providers on terms that exclude your data from training. The named vendors for your install are listed in the statement of work and in the data processing agreement, and we give you fourteen days' notice before adding or replacing one so you can object.
- Nature of services, for your vendor system: IT and technology consulting, solutions and management services. NAICS 541512 (computer systems design), 541511 (custom computer programming), 541611 (administrative and general management consulting), 541613 (marketing consulting), 541519 (other computer-related services). - Vendor onboarding: we complete your forms. A W-9, certificate of insurance, banking details for ACH, diversity documentation, and a signed security questionnaire are available once we are in a live buying conversation.
Support and exit
- Business-hours support; a system that is down gets a response within four hours, any day.
- Broken things page us, not your customers: monitoring is part of every install.
- Termination assistance: thirty days of hand-off help included, with documentation and the recordings.
- Named technical lead on every engagement, and it is a founder.
